Terms of Service

1) Agreement to Terms
By installing, accessing, or using DS-Mate (the Service), creating an account, or clicking any button or checkbox indicating acceptance, you agree to be bound by these Terms of Service (the Terms), our Privacy Policy, and any other policies referenced here (collectively, the Agreement). If you do not agree, do not use the Service.
2) Who We Are
The Service is operated by DS-Mate (“DS-Mate”, “we”, “us”, or “our”). If you use DS-Mate on behalf of a company or other entity, you represent that you are authorized to bind that entity to this Agreement; in that case, “you” and “your” refer to that entity.
3) Definitions
- Account – Your DS-Mate user account.
- Affiliate – Any entity that controls, is controlled by, or is under common control with a party.
- Authorized Users – Individuals you permit to access your Account.
- Content – Data, text, images, product information, listings, pricing, inventory, orders, feedback, or other materials processed via or stored in the Service.
- Third-Party Services – Services not provided by DS-Mate (e.g., Shopify, Amazon, payment processors, shipping carriers, analytics tools, or apps).
4) Eligibility; Compliance
You must be at least the age of majority in your jurisdiction and capable of forming a binding contract. You are responsible for ensuring your use of the Service complies with all laws, regulations, and marketplace/Third-Party Services policies (e.g., listing standards, product safety, IP rights, data protection, consumer protection, taxes, sanctions/export controls).
5) Account Registration & Security
Provide accurate, complete information and keep it up to date. You are responsible for all activity under your Account and for maintaining the confidentiality of credentials, access tokens, and API keys. Notify us immediately of unauthorized use or suspected security incidents. We may require multi-factor authentication and may suspend access pending investigation of suspected misuse.
6) Subscription Plans, Fees, and Billing
6.1 Plans & Fees
Some features require a paid subscription. Plan details and fees are described at checkout or within the Service and may change per Section 21.
6.2 Auto-Renewal
Paid subscriptions renew automatically for successive terms (e.g., monthly or annually) unless canceled in accordance with Section 13. You authorize us (and our payment processor) to charge the applicable fees and taxes using your payment method on file.
6.3 Taxes
Fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and government charges.
6.4 Refunds
Except where required by law or expressly stated otherwise in a written guarantee posted within the Service, all fees are non-refundable. Canceling during a billing period typically ends access at the end of that period.
7) Use of the Service
7.1 License to You
Subject to this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes.
7.2 Your Responsibilities
You are solely responsible for: (a) accuracy and legality of your Content; (b) the products you list, sell, purchase, or fulfill; (c) your relationship with customers and marketplaces; (d) configuring the Service (e.g., rules, mappings, automations); and (e) backing up your Content outside the Service.
7.3 Prohibited Conduct
You agree not to:
- use the Service for unlawful activities or to violate marketplace/Third-Party Services policies;
- infringe IP or publicity/privacy rights, or submit deceptive or harmful Content;
- access the Service to build a competing product or for benchmarking without our consent;
- probe, scan, or test the vulnerability of the Service; introduce malware; or interfere with security or access controls;
- resell, lease, or provide the Service to third parties except as permitted by your plan.
8) Third-Party Services & Marketplaces
DS-Mate is not affiliated with Shopify, Amazon, or any marketplace, carrier, or payment provider. We do not control their systems, approvals, policies, outages, fees, or enforcement actions. You are responsible for maintaining your Third-Party accounts in good standing and for complying with their terms and privacy notices.
9) Content; Data Rights
As between you and DS-Mate, you own your Content. You grant DS-Mate a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, and create derivative works of your Content solely to provide, maintain, secure, and improve the Service and to comply with law.
10) AI-Powered Features
Some features may use machine learning or generative AI to generate suggestions (e.g., titles, descriptions, pricing rules). AI outputs can be inaccurate or incomplete. You are responsible for reviewing outputs before use and for ensuring compliance with marketplace rules and applicable law.
11) Term; Suspension; Termination
You may cancel at any time via in-product settings; cancellation is effective at the end of the then-current billing period unless otherwise stated. We may suspend or terminate access immediately if you breach the Agreement, fees are overdue, required by law, or your use risks security or operational harm.
12) Warranties & Disclaimers
THE SERVICE AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
13) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DS-MATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO DS-MATE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
14) Indemnification
You will defend, indemnify, and hold harmless DS-Mate from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your Content; (b) your products, listings, fulfillment, or customer relationships; (c) your breach of this Agreement or violation of law; or (d) your use of Third-Party Services.
15) Governing Law; Dispute Resolution
This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflicts of laws rules. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association (AAA). YOU AND DS-MATE WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.
16) Changes to the Terms
We may update these Terms from time to time. When we do, we will post the revised Terms with an updated “Effective date” and, if changes are material, we will provide additional notice. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
